What we do

  • Coordination and clarification of the roles and tasks of all involved managers, specialists and consultants 
  • Define the relevant topics that need to be uploaded to the data room
  • Major topics to be analysed are:
    • Relevant information on management and key employees
    • Personnel organization, a complete list of all employees with relevant data, budgets / costs, HR planning and HR policies
    • HR information-system and payroll-system
    • Liabilities including individual contractual commitments, pension schemes, external audit reports, etc.
    • Pending court proceedings
    • Collaboration with the relevant works council and a copy of all collective and company agreements
  • Clarification, documentation and recommendations regarding employment-law related topics, like:
    • Transfer of business (Betriebsübergang)
    • Reconciliation of interests and social compensation plan (Interessenausgleich und Sozialplan)
    • Continued validity of collective and company agreements; intended / necessary downsizing
    • Analysis, clarification and documentation of all HR related risks and recommendations in an HR due diligence report
